Scope of Position The Contracts Specialist is a key partner to business development and project teams. This role is responsible for handling a wide range of moderate to complex level contracts and legal tasks, including administrative and executive support-related tasks. Review, negotiate, and maintain agreements, records, and litigation/claim reports and should be capable of recognizing potential problems and addressing them. Job Responsibilities Draft, review, revise, and negotiate Customer Agreements, which include service, conceptual design, design, architecture, engineering, design-build, construction management, and construction management at risk agreements. Draft, review, revise, and negotiate a variety of other contracts including, Non-Disclosure Agreements, Teaming Agreements and Subcontracts. Research and stay up to date with changes to legislation, laws, statutes, rules, and regulations affecting corporate and construction industry. Maintain corporate records, including officers and directors' lists. Maintain a litigation/claims status report, including any due dates for action items. Maintain ITAR/EAR documentation and registration. Maintain corporate seals as necessary. Compile data and information necessary to maintain company licenses. High level of coordination for setting priorities, complex tasks and adhering to strict deadlines. Responsible for compiling data and/or performing research for reports and materials for publications and presentations for executives and/or company. Read and analyze incoming notices, memos and reports to determine significance and determine distribution. Setup and coordinate meetings and high-level conference calls and develop agendas as needed. May be responsible for independent projects in addition to routine support duties, as necessary. Travel as required. Other duties which may be assigned as needed. Education & Years of Experience Contracts Specialist I: Juris Doctorate preferred and licensed or in process of applying and taking the bar within the year. 5-10 years' experience preferred. Without a Juris Doctorate, 5-10 years of construction contracts experience required. Qualifications Knowledge of contractual and legal concepts. Communicate effectively verbally and in writing. Excellent negotiating and drafting skills. Excellent interpersonal skills. Proficient in Microsoft Office programs and redlining in Microsoft Word. Experience or familiarity with construction industry and terminology. Understanding of commercial and corporate law. Familiarity and knowledge with AIA and DBIA contracts (not required but a plus). Ability to work with all levels of management and maintain strong professional relationships. Excellent organizational skills and attention to detail. Keep confidential information. Knowledge of the federal and commercial contracting regulations (not required but a plus). Provide, as well as carry out, detailed verbal and written instructions independently. Collaborate with others to accomplish organizational goals; identify and resolve problems. Use logical or rational thinking to solve problems; make decisions based on personal judgment. Environmental Factors and Physical Requirements While performing the duties of this job, team members may be required to visit alternate locations and therefore must have ordinary ambulatory skills sufficient to do so. This position requires the ability to stand, walk, stoop, kneel, crouch, and manipulate (lift, carry, move) light to medium weights of 10-50 pounds. Requires good hand-eye coordination, arm, hand, and finger dexterity, including ability to grasp, and visual acuity to use a keyboard, operate equipment and read application/form information.
